1. Trade Contract Terms

These terms and conditions govern all trade transactions conducted through LumenTrade International Inc. By engaging in trade services with us, you agree to be bound by these terms.

1.1 Contract Formation

A trade contract is formed when both parties (buyer and seller) agree on the terms, including product specifications, quantity, price, delivery terms, and payment methods.

1.2 Incoterms Application

All international trade transactions follow the latest Incoterms® rules published by the International Chamber of Commerce (ICC). Common terms include:

  • FOB (Free On Board): Seller delivers goods on board vessel at named port
  • CIF (Cost, Insurance & Freight): Seller pays for cost, insurance, and freight to destination port
  • EXW (Ex Works): Buyer collects goods from seller's premises
  • DDP (Delivered Duty Paid): Seller delivers goods to buyer's location, all costs included

2. Payment & Settlement Methods

2.1 Accepted Payment Methods

  • Letter of Credit (L/C) - preferred for large transactions
  • Telegraphic Transfer (T/T)
  • Documentary Collection (D/P, D/A)
  • Open Account (for established clients)

2.2 Payment Terms

Standard payment terms are 30% deposit upon order confirmation, 70% balance before shipment. Custom payment terms may be negotiated for qualified buyers.

3. Goods Delivery Responsibilities

Delivery responsibilities are determined by the agreed Incoterms. LumenTrade International acts as an intermediary and facilitator, ensuring smooth coordination between all parties.

3.1 Shipping & Logistics

We coordinate with reputable international carriers for sea, air, and land freight. Transit times vary based on route and mode of transport.

3.2 Insurance

Cargo insurance is recommended for all shipments. We can arrange comprehensive marine insurance covering loss or damage during transit.

4. Dispute Resolution Mechanism

In the event of a dispute, parties agree to first attempt resolution through negotiation and mediation.

4.1 Arbitration

If negotiation fails, disputes shall be resolved through international commercial arbitration in accordance with ICC Arbitration Rules.

4.2 Governing Law

These terms are governed by international trade law and the laws of the jurisdiction where the contract was executed.

5. Quality Standards & Inspections

All products must meet agreed quality specifications. Third-party inspection services can be arranged before shipment.

5.1 Quality Certifications

Products requiring specific certifications (CE, FDA, ISO, etc.) must comply with destination country regulations.

5.2 Claims & Returns

Quality claims must be filed within 7 days of delivery. Returns are subject to inspection and approval from both parties.

6. Compliance & Anti-Corruption

LumenTrade International strictly adheres to all international trade compliance regulations and anti-corruption laws.

6.1 Export Controls

All shipments comply with export control regulations of origin and destination countries.

6.2 Anti-Bribery Policy

We maintain a zero-tolerance policy for bribery and corruption in all business dealings.
